IntesaBCI & Unicredito Italiano stakes in Olimpia

September 28, 2001 (Milan, Italy) - Today each of IntesaBCI S.p.A. and UniCredito Italiano S.p.A. purchased a 10% shareholding in the capital of Olimpia S.p.A., pursuant to the agreement entered into by and between these banks and Pirelli S.p.A. on September 14, 2001.

As agreed by Pirelli, Edizione Holding and the shareholders of Bell S.A. on September 19, 2001, the required formal adjustments were made to said agreement. No changes were made to the provisions governing the mutual relationships, in their capacity as shareholders of Olimpia S.p.A., between Pirelli S.p.A., IntesaBCI and UniCredito Italiano.

After this date, since Olimpia S.p.A. increased its share capital from 115,398,175 to 1,400,000,000, the number of shares included in the 10% shareholding went from 11,539,817 to 140,000,000.

Hence, each of IntesaBCI S.pA. and UniCredito Italiano S.p.A. purchased from Pirelli (without prejudice to the aggregate outlay agreed upon) 140,000,000 shares in the capital of Olimpia incorporating option rights allowing the subscription and payment by each bank of a 10% shareholding in the capital resulting from the new capital increase (by way of shareholders' payments) from a nominal amount of 1,400,000,000 to a nominal amount of 1,562,596,150 resolved upon by the Company on September 27, 2001.
