PIRELLI: SHAREHOLDERS AGREEMENTS
Milan, 9 august 2018 – In fulfilment of the requirements of article 129 of the Consob Regulation 11971/99 here attached is the extract of the following agreements containing the shareholder agreements regarding Pirelli & C Spa.:
- Shareholders agreement executed on July 28, 2017 by and among China National Chemical Corporation, China National Tire & Rubber Corporation, Ltd., Silk Road Fund Co., Ltd., CNRC International Limited (HK), CNRC International Holding (HK) Limited, Fourteen Sundew S.à r.l., Camfin S.p.A., Long-Term Investments Luxembourg S.A. and Marco Tronchetti Provera & C. S.p.A..
- Supplemental agreement to the Agreement concerning the investment into Pirelli executed on July 28, 2017 by and among Silk Road Fund Co., Ltd., China National Tire & Rubber Corporation, Ltd. and China National Chemical Corporation; simultaneously with the completion of the Demerger, a supplemental agreement (the so-called “Second Supplemental Agreement”) has been executed, pursuant to which China National Chemical Corporation is entitled to appoint 6 (six) of the 8 (eight) directors of Marco Polo International Italy S.r.l. and Silk Road Fund Co., Ltd. the remaining 2 (two) directors.
- Agreement concerning the acting in concert executed on July 28, 2017 by and between Silk Road Fund Co., Ltd. and China National Tire & Rubber Corporation, Ltd.
- Agreement executed on May 4, 2017 by and among Marco Tronchetti Provera & C. S.p.A., Nuove Partecipazioni S.p.A., UniCredit S.p.A, Manzoni S.r.l. and Intesa Sanpaolo S.p.A.
The extract will be published by the underwriters in the daily newspaper “MF” on August 11, 2018.
