PIRELLI: SHAREHOLDERS’ AGREEMENTS

Milan, 3 January 2025 – In compliance with art. 131 of the Regolamento Emittenti (Issuers Regulation), approved by Consob with resolution 11971/99 (“RE”), here attached are the extracts ex art. 130 RE regarding the following agreements containing the shareholders’ agreements pertaining to Pirelli as updated following the acquisitions of shares of Pirelli by Camfin Alternative Assets S.r.l. and Camfin S.p.A. (“Camfin”), companies, indirectly and directly, controlled by Marco Tronchetti Provera & C. S.p.A. (“MTP S.p.A”), that occurred respectively on 3, 4 and 7 October 2024 and on 8, 11 and 12 November 2024, as already disclosed to the market: 

• agreement between Camfin, MTP S.p.A., China National Chemical Corporation, China National Tire & Rubber Corporation, Ltd., CNRC International Limited, Fourteen Sundew S.à r.l. and Marco Polo International Italy S.r.l.; and
• agreement between Camfin, MTP S.p.A., Nuova FourB S.r.l., Brembo N.V. and Next Investment S.r.l..
